Tokenized Stocks: Why 37% of Companies Reject OKXICE
A joint venture between the cryptocurrency exchange OKX and the Intercontinental Exchange (ICE), owner of the New York Stock Exchange, faces an obstacle that no line of code can solve: convincing large companies to allow their stocks to be traded on the blockchain.
IBM, Oracle, Intel, and IonQ have joined the list of companies that have vetoed the initiative, raising the total number of objections to 26. Before them, names like Microsoft, Alphabet, Goldman Sachs, Cisco, and Wells Fargo had already said no. Of the 62 companies listed in OKXICE's original plan, 23 have declined, representing about 37% of the initial roster.
The scenario exposes a fundamental tension in the asset tokenization market: the technology may be ready, but issuers are still not convinced that participating is worth the risk.
How the SEC's Innovation Framework Works
The U.S. Securities and Exchange Commission (SEC) created a so-called "Innovation Exemption" valid for five years. Qualified platforms can test stock trading on the blockchain, operating 24 hours a day, seven days a week. But there is a catch: listed companies have the right to veto the inclusion of their stocks.
The mechanism works like this: the platform publishes a public notice with the list of stocks it intends to offer. From the publication, each company has 30 days to register an objection. If they say nothing, silence equates to consent, with no possibility of later revocation.
OKXICE published its first notice on October 4, detailing a model that uses liquidity pools from Uniswap v4 on OKX's XLayer blockchain. Transactions would be settled in stablecoins, and trading would occur via automated market makers (AMMs), without the traditional order book.
The Problem of Asymmetric Incentives
To understand the wave of rejections, one must look at the incentive structure that the framework created. Objecting costs nothing. Accepting, on the other hand, means allowing the company's stocks to be traded in a new environment, without the familiar regulatory framework, without an exit mechanism, and with potentially shallow liquidity.
Legal and investor relations teams are still trying to understand the practical implications. Saying "no" is the safest response when the cost of waiting is zero and the cost of participating is uncertain. Industry experts point out that the regulatory design, while innovative, has created a natural bias towards refusal.
There is also a demand issue. Tokenization could, in theory, open access to international investors who currently have difficulty buying American stocks directly. But analysts from major financial institutions argue that this potential benefit may not outweigh concerns about continuous trading (24/7) outside the conventional market structure, where liquidity tends to be lower outside of business hours.
The "Wait and See" Strategy
Andrew Cuomo, co-chairman of OKXICE and former governor of New York, treated the objections as predictable. In a press conference last week, he said that many companies prefer to "wait and see how it works before being the first to participate."
The statement reveals a classic dynamic of emerging markets: no one wants to be the first to enter, but everyone wants to be the second. If the platform demonstrates liquidity, security, and real demand with the companies that accepted, it is possible that doors will begin to open in subsequent cycles.
Three objections came from companies that were not even on the original list: Cerebras Systems, Arm Holdings, and Wells Fargo. This suggests that some companies are actively monitoring the process and taking preventive measures, even before being formally included.

What This Means for Asset Tokenization
OKXICE's move is one of the most ambitious tests of real-world asset (RWA) tokenization in the American market. Unlike tokens that represent debt securities or commodities, we are talking about shares of publicly listed companies on the NYSE and Nasdaq being traded in DeFi liquidity pools.
The rejection rate of 37% is not necessarily a death knell. There are still dozens of companies that did not object, and the platform can start operating with a smaller roster. The real challenge is proving that the model generates enough liquidity to justify the existence of a parallel market.
For the broader crypto ecosystem, the episode reinforces a lesson that the decentralized finance sector should have already internalized: technical infrastructure is a necessary condition but not sufficient. Without alignment of incentives among all market participants, institutional adoption progresses slowly.
The Context of Stablecoins and RWA Yield
OKXICE's plan comes at a time when stablecoins backed by real assets are sustaining yields between 5% and 7% per year, while financing rates in the crypto market compress to around 4%. Regulatory initiatives like the GENIUS Act in the United States tend to push some of this yield off-chain, which could expand the addressable market to around $4 billion over the next three years.
This backdrop helps explain why ICE, one of the largest exchange operators in the world, decided to partner with OKX. It is not technological philanthropy. It is a bet that blockchain infrastructure will capture a significant share of global asset trading volume in the coming years. The question is whether issuing companies agree with this vision at the pace the market needs.
